1. Introduction

These Terms and Conditions ("Terms") outline the agreement between The Lady Bookkeeper ("we", "us", "our") and the client ("you", "your") for the provision of bookkeeping and related financial services. By engaging our services, you agree to these Terms.

3. Services Provided

We offer the following services:

  • Bookkeeping

  • Payroll

  • VAT returns

  • Corporation tax preparation

  • Final accounts for sole traders, partnerships, and small limited companies

  • Support for community interest companies and not‑for‑profit organisations

Specific services agreed upon will be detailed in your engagement letter.

4. Engagement Process

Before starting any work, you will receive an engagement letter that includes:

  • Scope of services

  • Fees and billing arrangements

  • Responsibilities of both parties

  • Required documentation and deadlines

Work will begin only after the engagement letter is signed and returned.

5. Your Responsibilities

You agree to:

  • Provide accurate, complete, and timely information

  • Supply all required records and documentation

  • Respond to queries promptly

  • Comply with relevant tax and accounting regulations

We are not responsible for delays or inaccuracies caused by missing or incorrect information.

6. Our Responsibilities

We will:

  • Perform services with reasonable skill and care

  • Comply with UK GDPR and maintain confidentiality

  • Use secure accounting software such as Xero

  • Inform you of deadlines and relevant regulatory changes when necessary

7. Fees and Payment

Fees will be outlined in your engagement letter and may be fixed, hourly, or monthly. You agree to:

  • Pay invoices by the due date

  • Cover any additional costs agreed in advance

Late payments may result in:

  • Suspension of services

  • Interest charges in line with the Late Payment of Commercial Debts (Interest) Act 1998

8. Deadlines and Submission

We rely on timely receipt of information from you. If information is provided late, we cannot guarantee submission of returns or filings by statutory deadlines.

You accept responsibility for any penalties, interest, or charges resulting from late paperwork or non‑compliance.

9. Limitation of Liability

We are not liable for:

  • Losses arising from information you fail to provide

  • Loss of profit, revenue, business, or data

  • Any indirect or consequential loss

Our total liability is limited to the total fees paid for services in the 12 months before any claim.

10. Confidentiality

All information we handle is treated confidentially unless disclosure is required:

  • By law

  • To comply with regulatory obligations (e.g., HMRC)

  • To prevent fraud or wrongdoing

11. Data Protection

We process personal data according to our Privacy Policy and in compliance with UK GDPR and the Data Protection Act 2018.

12. Intellectual Property

Reports, spreadsheets, and documents we create remain our intellectual property until fees are paid in full. You may not reproduce or distribute materials without our permission.

13. Termination

Either party may terminate the agreement in writing. You must pay for all work completed up to the termination date.

We may terminate the agreement if:

  • Required information is repeatedly not provided

  • Payments are consistently late

  • Illegal or unethical activity is suspected

14. Complaints

If you have a complaint, please contact us directly. We aim to resolve all issues promptly and professionally.

15. Governing Law

These Terms are governed by the laws of Scotland. Disputes will be resolved under the exclusive jurisdiction of the Scottish courts.
